Legal Counsel – Capital Markets & M&A

About the role

The THEON GROUP is seeking an experienced Legal Counsel to support its expanding international operations and strategic initiatives. The role will involve providing pragmatic, commercially‑focused legal advice across a broad range of complex matters, with a particular emphasis on capital markets, banking & finance, and corporate transactions.

Key responsibilities

• Lead and support M&A and other strategic transactions.
• Advise senior management on capital markets, corporate governance and financing matters.
• Negotiate financing and commercial agreements.
• Partner closely with business teams to align legal solutions with commercial objectives.
• Coordinate external counsel across multiple jurisdictions.

Required profile

• Minimum 7 years post‑qualification experience.
• Combination of top‑tier law firm and in‑house experience.
• Strong background in Capital Markets, Banking & Finance, M&A and corporate transactions.
• Proven experience managing complex, cross‑border transactions.
• Commercial mindset with strong stakeholder management skills.
• Excellent drafting and negotiation abilities.
• Fluency in English.
