Junior Associate Lawyer – Corporate, M&A and Capital Markets

About the role

KG Law Firm is seeking a motivated Junior Associate Lawyer to support its corporate, M&A and capital markets practice. The role offers exposure to a wide range of transactions and regulatory matters within a prestigious Greek law firm.

Key responsibilities

• Support day‑to‑day corporate filings, including drafting board minutes and adjusting articles of incorporation, and interact with the Greek Commercial Registry (G.E.MI.).
• Draft, review and negotiate standard commercial agreements such as supply, distribution, services agreements and NDAs.
• Assist in structuring and negotiating financing arrangements, including loan agreements, bond loan agreements (ΚΟΔ), shareholder and intra‑group loans, corporate guarantees and related security documents.
• Participate in corporate reorganisations and M&A transactions, preparing documentation for share transfers, capital increases, mergers, demergers, transformations and related G.E.MI. filings.
• Conduct legal due‑diligence reviews for M&A, investment and financing deals, identifying risks and preparing reports.
• Support the preparation, review and coordination of transaction documents such as SPAs, SHAs, investment agreements, subscription agreements, term sheets and confidentiality agreements.
• Assist with capital‑markets transactions, including public and private offerings, listings and regulatory filings.
• Advise on compliance with national and EU regulations and represent clients before regulatory bodies such as the Bank of Greece and the Hellenic Capital Market Commission.

Required profile

• Bachelor’s degree in Law; Master’s degree preferred in Corporate/M&A, Capital Markets or a related field.
• Qualified attorney‑at‑law in Greece.
• 1–2 years of relevant experience with a proven track record.
